1. Definitions

• Client: The person or company engaging CodeX Assistant’s services.
• Service: The provision of a full-time dedicated WordPress developer.
• Agreement: The contract between CodeX Assistant and the Client for the provision of services.

2. Services

CodeX Assistant provides full-time dedicated WordPress developers to clients for a monthly fee. The scope of work and specific tasks will be defined in a separate agreement between CodeX Assistant and the Client.

3. Payment Terms

• The monthly fee for the services is $499.
• Payments are due in advance at the start of each monthly billing cycle.
• Payment must be made via the payment methods specified on our website or in the service agreement.

4. Client Responsibilities

• Provide clear and timely communication regarding project requirements and feedback.
• Ensure availability to provide necessary resources, information, and access required by the developer to complete tasks.
• Maintain the confidentiality of any login credentials or sensitive information shared with CodeX Assistant.

5. CodeX Assistant Responsibilities

• Assign a dedicated WordPress developer to the Client for the agreed-upon hours per month.
• Ensure the developer works in accordance with the agreed-upon project scope and requirements.
• Provide support and oversight to ensure the quality and timeliness of the developer’s work.

6. Termination and Cancellation

• Either party may terminate the agreement with 30 days’ written notice.
• CodeX Assistant reserves the right to terminate the agreement immediately if the Client breaches any terms of the agreement.
• Upon termination, any outstanding payments for services rendered will be due immediately.

7. Refund Policy

Refunds will be handled as per our refund policy. Please refer to our Refund Policy page for detailed information.

8. Confidentiality

Both parties agree to keep confidential any proprietary information and trade secrets of the other party disclosed during the term of the agreement.

9. Intellectual Property

All work created by the dedicated WordPress developer during the course of the engagement shall be the intellectual property of the Client, provided that all payments due under the agreement have been made in full.

10. Liability

• CodeX Assistant will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Our total liability for any claim arising from the use of our services shall not exceed the amount paid by the Client for the services in the previous month.

11. Indemnification

The Client agrees to indemnify and hold harmless CodeX Assistant, its employees, and agents from any claims, damages, losses, or expenses arising from the Client’s use of our services.

12. Amendments

CodeX Assistant reserves the right to amend these terms and conditions at any time. Any changes will be posted on our website and will become effective upon posting.
